MIKE FITZSIMMONS, CEO

As Delivery Agent, Inc.'s founder and CEO, Mike Fitzsimmons has developed and commercialized the only multi-media platform that connects viewers with products seen on and related to their favorite television shows, movies, sports, and music videos. Under his leadership, Delivery Agent has become the leader in shopping-enabled entertainment.

Prior to founding Delivery Agent, Mr. Fitzsimmons led Product Marketing and Business Development for Something Now, Inc., which was acquired by CNET Networks in 2001. At Something Now, Mr. Fitzsimmons developed the industry's first synchronized e-commerce application that enabled real-time promotion of related consumer electronics products and services online.

Before his work at Something Now, Mr. Fitzsimmons was a member of Circuit City Stores, Inc. Corporate Development and Direct Response Divisions, where his group brought in annual revenue in excess of $550 million. Additionally, he managed the company's start-up initiatives for their catalog, direct-mail and outbound call centers. Other Circuit City businesses from which Mr. Fitzsimmons has added to his product marketing and management expertise include: Circuitcity.com, CarMax, Circuit City Direct and DIVX.

As a recognized expert on e-commerce and convergence, Mr. Fitzsimmons has been featured in Forbes, Reuters, Hollywood Reporter, Wall Street Journal, CNN/Money, Los Angeles Business Journal, BBC, eCommerce Times and Variety and spoken at premiere industry events including The Media and Entertainment Forum, The Aspen Institute, Ad Tech and OnHollywood. Under Mr. Fitzsimmons’ leadership, Delivery Agent was recently named Rising Star in the 2007 Deloitte & Touche Silicon Valley Technology Fast 50 companies, Entrepreneur Magazine’s Hot 100 companies and AlwaysOn’s OnHollywood 100 Top Private Companies. He currently serves on advisory boards for Jumpstart (www.jstart.org) and Loudmouth Golf.

A native of Virginia, Mr. Fitzsimmons is an avid golfer and a graduate of Hampden Sydney College with a degree in Economics.

KIM MARDER, CMO

Kim Marder, Co-Founder and CMO of Delivery Agent, Inc., has played an instrumental role in the strategic development and growth of the company since its inception.

With over 18 years experience in marketing and business development, spanning both traditional and digital media companies, Fortune 500 and start-ups, Ms. Marder brings a unique blend of expertise spanning multi-platform marketing, business development and brand building.

Highlights include serving as Vice President of Marketing for a division of AOL where she supervised a team of one hundred + marketing and online services staff that, under her leadership, were responsible for developing and executing the marketing and branding strategy for AOL's e-commerce gaming brand.

Ms. Marder also served as Head of Marketing and Co-Founder of PetPlanet.com, where she developed the strategic and product plans, helped secure financing, business partnerships, and analyst accolades that resulted in the company achieving top tier status in the internet pet vertical marketplace.

Before her work at PetPlanet.com, Ms. Marder held various senior executive positions with Tribune's Compton's NewMedia and Theatrix Interactive, both award-winning digital developers and publishers. During her tenure with those companies, she was instrumental in bringing their products to new platforms by negotiating deals with advertising agencies, brands and production companies. Partners included: Procter & Gamble, General Motors, Leo Burnett, United Artists Theatres and The Starlight Foundation to name a few.

Prior to joining Tribune, Ms. Marder spent seven years with Sony Pictures Entertainment, where she was responsible for managing annual budgets of $25 million and generating in excess of $300 million in sales. While at Sony, Ms. Marder structured large multi-million dollar deals with companies such as United Airlines, Sprint, Nestle and Care among others.

A native of New York, Ms. Marder is a graduate of New York University, holding a B.A. in Journalism and a minor in Political Science.

Thomas N. Goldman, VP Finance & Administration

Mr. Goldman joined Delivery Agent in February 2003. Over the last 25 years, he has held senior finance and accounting positions in the Bay Area, mainly in the specialty retail field. During his five years in public accounting, Mr. Goldman's clients included retailers, Gap, Inc. and Topps & Trowsers. After leaving public accounting, Mr. Goldman became the Vice President—Controller for one of his clients, Modulaire Industries, a San Francisco leasing company. While at Modulaire, Mr. Goldman was instrumental in the Company's Initial Public Offering. After Modulaire was sold to Waste Management, Inc., Mr. Goldman became the Vice President—Controller at The San Francisco Music Box Company. After four years, Mr. Goldman led SFMB's IPO. (The Company was bought by Woolworth Corporation on the eve of the public offering's effective date.)

Mr. Goldman's other retail financial management positions have included Peet's Coffee & Tea, Peaceable Kingdom Press, and RedEnvelope, Inc. In addition to serving in the above capacities, Mr. Goldman has consulted with both retail and non-retail start-ups and early stage development companies.

Mr. Goldman holds an A.B. from Princeton University, an MBA from Washington University, and a CPA certificate from the State of California.

Balaji Gopinath, SVP Product Development

Balaji Gopinath has over seventeen years of experience in general management, strategy, technology and operations with both private and public companies, including several start-ups. Mr. Gopinath brings management experience to Delivery Agent from such diverse fields as CPG/Retail, Media and Entertainment, Financial Services, Technology, and Manufacturing.

Prior to working at Delivery Agent, Mr. Gopinath helped launch the Open Media Network (OMN), a non-profit focused on delivering a broad selection of movies, public TV and radio, video blogs and podcasts to consumers. Before OMN, he was VP of Operations at Procurepoint and Kontiki, Inc., a software company focused on the next generation model of secure media delivery for consumers and media companies.

While at Internet pioneers Scient and Aslan Computing, Mr. Gopinath held global positions as GM and SVP and led the construction of eCommerce businesses for Gap, Intuit, MLB.com, Asia Steel, Sephora, Realtor.com (now Homestore), Boots.com (UK), Hotwire.com, Living.com, and PlanetRx. Mr. Gopinath was responsible for all facets of the businesses, including strategy, customer experience, end-to-end technology and operations. Mr. Gopinath was also involved in launching Scient's start-up incubator, and in developing products such as “eTail in a Box,” vertical ASP oriented frameworks and “any-to-any” solutions focusing on developing multi-channel and multi-device strategies for corporate and consumer-focused clients.

Mr. Gopinath has also managed the West Coast Internet and Retail Strategy for NCR, and was part of the founding group behind Cambridge Technology Partners (CTP). Mr. Gopinath is a graduate of MIT.

Myles Felsing, Vice President of Consumer Marketing

Mr. Felsing's e-commerce experience spans the retail and financial services industries. Prior to joining Delivery Agent, Mr. Felsing oversaw the online advertising and mobile marketing channels at Wells Fargo & Company. As Senior Vice President, Online Sales & Marketing, he led the planning and execution of Wells Fargo's online advertising initiatives and developed the mobile marketing plan for the launch of the company's mobile banking browser.

Prior to Wells Fargo, Mr. Felsing developed and led the marketing strategy at RedEnvelope, Inc., a multi-channel e-commerce and catalog business. During his six years at RedEnvelope, Mr. Felsing was instrumental in transforming the company from a start-up to a publicly traded company with annual revenues in excess of $120 million and a customer housefile of 3.4 million. He oversaw the planning and implementation of online marketing, direct marketing, customer value management, and direct response TV initiatives. Mr. Felsing was also responsible for developing strategic advertising partnerships with Evite, Comcast, and Amazon.com. A pioneer in the e-commerce space, RedEnvelope.com was recognized as one of the top online shopping destinations by The Wall Street Journal.

Mr. Felsing's prior experience also includes working in the funds management division of State Street Bank in Boston, Massachusetts.

Mr. Felsing has presented and served as a panelist at e-commerce industry conferences including Ad:Tech, E-tail, and Shop.org on topics covering best practices in affiliate marketing, perspectives on e-commerce revenue growth, and online brand protection strategies.

A native of Massachusetts, Mr. Felsing holds a B.A. from Middlebury College. He is also a joint MBA candidate at Columbia Business School and the Haas School of Business at the University of California, Berkeley.

Mark Smith, General Counsel

Prior to joining Delivery Agent, Mr. Smith was the General Counsel for Structure Consulting Group, LLC, a company that provides both software and consulting services to energy trading companies. While at Structure, Mr. Smith managed the company's legal affairs for its US and UK operations.

Prior to his work at Structure, Mr. Smith was corporate counsel for Sapient Corporation where he was responsible for the legal affairs of business units in the US and UK. Before joining Sapient, Mr. Smith was counsel for Human Code, Inc., a privately-held developer of rich media and broadband applications for entertainment and e-learning companies, where he was responsible for and managed the legal affairs of the company, including seeing the company through its acquisition by Sapient Corporation.

Mr. Smith earned his law degree from The Ohio State University, and holds a B.S. in computer information systems from Tarleton State University. Mr. Smith also served as a law clerk to the Honorable W. Royal Furgeson, United States District Judge for the Western District of Texas.

Stuart Spiegel, SVP Merchandising

Prior to joining Delivery Agent, Stuart Spiegel was the Vice President and General Manager for the Commerce Division of the Inktomi Corporation, a company that develops and markets mission-critical, scalable infrastructure software designed predominantly for ISPs, portals and large corporations. Mr. Spiegel was charged with managing the transition of two newly acquired companies into the parent company.

Before joining Inktomi, Mr. Spiegel was Vice President and General Manager at iQVC, the interactive division of QVC Inc. Mr. Spiegel was responsible for launching this division, and under his leadership, it quickly became one of the web's top ten shopping destinations. During his tenure, the company had revenue over $100 million dollars and was profitable after only three months of business. The company was also recognized as number one on the web in customer satisfaction through a poll conducted by Harris Interactive.

Additionally, Mr. Spiegel held several senior management posts at companies such as Sony Signatures, Liz Claiborne, Ralph Lauren Womenswear and Macy's NY. Mr. Spiegel's responsibilities included overseeing the roll-out of Polo Stores, the launch of several International licensees of Polo/Ralph Lauren products in eleven countries, as well as participating on the steering committee to launch the retail operation for Liz Claiborne.

Mark Woolley, VP Partner Development

Mr. Woolley joins Delivery Agent as a seasoned executive with over seventeen years of experience in the entertainment industry, including production, development, marketing and distribution. Working with independent filmmakers, Warner Bros., MGM/UA, Sony Pictures and Paramount, he has developed and implemented strategic efforts for domestic and international markets and across multiple media formats including theatrical releases, home entertainment products, online, television and digital media.

Prior to joining Delivery Agent, Mr. Woolley spearheaded the execution of tactical international marketing initiatives for Sony Pictures Home Entertainment. Leveraging studio and acquisition film franchises including The DaVinci Code, Spider-Man, Charlie's Angels, Bad Boys, the James Bond and Pink Panther films, Underworld, Hellboy, Anacondas, and Resident Evil, his contributions helped enhance annual corporate revenue of nearly $1 billion to Sony Pictures Entertainment.

Previously, as a marketing executive at Intertainer and E! Online, Mr. Woolley developed consumer and trade campaigns for online and digital media products, including Video-On-Demand solutions across IP and cable platforms, and entertainment industry content websites. He also played key roles in creating multiple successful cross-partnership promotional programs for cable television and online clientele.

He brings an established understanding of traditional entertainment media marketing and distribution business practices to Delivery Agent along with a comprehensive background in new media ventures, including the launch of software products for PlayStation Portable devices, mobile communication and digital memory cards, as well as the new high-definition interactive home entertainment format, BluRay Disc.
